Terms of Use — HK Logistics platform

Who these terms are between

The HK Logistics application, the operations platform behind it and the software that runs both are owned and developed by Book On Solutions Limited, a company registered in England and Wales, number 16124406, whose registered office is Cornwallis House, Howard Chase, Basildon, England, SS14 3BB ("Book On Solutions", "we", "our").

The logistics service you are using it for is operated by HK Logistics Group Ltd ("the operator"), which licenses the platform from Book On Solutions. HK Logistics is the operator's brand; the software is not.

These terms cover your use of the software. They do not cover your engagement with the operator, your pay, or the work you do — those are matters between you and HK Logistics Group Ltd.

Who may use it

Accounts are issued by the operator. There is no public sign-up that grants access. You may use the platform only while the operator authorises you to, and only for the operator's business.

Your account is yours alone. Do not share your password, and tell the operator immediately if you think someone else has used your account.

What you are given, and what you are not

You are granted a personal, non-exclusive, non-transferable, revocable permission to use the platform for the operator's business, for as long as the operator authorises it. That is a licence to use, and nothing more.

Nothing in that permission transfers ownership of, or any right in, any of the following, all of which remain the property of Book On Solutions Limited:

the source code of the applications, the CRM and the server software
the software architecture, database structures and data models
the application design, interfaces, layouts and visual design of the platform
the operational workflows, business logic and processes implemented in it
the algorithms, calculations and rules used, including pay, allocation, compliance, routing and settlement logic
any artificial-intelligence or automated-decision functionality
the internal systems, tooling and infrastructure that support it
the technical documentation
the "Book On Solutions" name and mark

You may not copy, adapt, reverse-engineer, decompile, republish, resell, sublicense or create derivative works from the platform, nor extract its data model, nor use it to build a competing product — except where the law expressly permits it despite this clause, which in the UK it does for limited interoperability purposes.

What belongs to other people

Book On Solutions claims no ownership over anything it does not own:

HK Logistics and the HK Logistics logo are the property of HK Logistics Group Ltd. Nothing here grants Book On Solutions or anyone else rights in them.
Your operational data — jobs, customers, documents, proof of delivery and records — belongs to HK Logistics Group Ltd, which is the data controller for personal data in it. Book On Solutions processes it on their instructions.
Third-party software included in or used by the platform remains the property of its own authors and is used under its own licence. Those licences are listed at /licences, and this document does not override any of them.
Apple, Google, and their platforms and services remain theirs. Map data is © OpenStreetMap contributors, used under the Open Database Licence.

Using it properly

You agree not to:

use the platform for anything unlawful, or for any business other than the operator's
interfere with its operation, probe its security, or attempt to gain access to data or accounts that are not yours
upload anything that infringes someone else's rights or contains malicious code
misrepresent a delivery, a proof of delivery, a document or a record

Records made through the platform — including proof of delivery, timestamps, photographs and location during working sessions — may be relied on by the operator and its customers. Falsifying them is a serious matter and may be a criminal one.

Location and personal data

The platform processes location during working sessions, and personal data about the people who use it. How, why, and for how long is set out in the Privacy Policy, which forms part of these terms. If you want your account removed, see /account-deletion.

Availability, and what we do not promise

We work to keep the platform available and correct, but we do not promise that it will be uninterrupted or free of error. It is provided on an "as is" basis to the extent the law allows.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. To the extent the law allows, Book On Solutions is not liable to individual users for indirect or consequential loss arising from use of the platform; commercial terms between Book On Solutions and HK Logistics Group Ltd are dealt with in their own agreement and not here.

Ending access

The operator may withdraw your access at any time. Book On Solutions may suspend access where it is necessary to protect the platform, its security, or other users. When your access ends, your permission to use the software ends with it.

Records the operator is required to keep are retained under the retention schedule in the Privacy Policy, which survives the end of your access.

Changes

We may update these terms. The date at the top shows when they last changed, and material changes will be brought to your attention in the app rather than left for you to find.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
